Brian Vaughan is a Partner and Co-Founder of Smolak & Vaughan LLP. Brian's practice is focused in the areas of commercial real estate and corporate finance. Brian has extensive experience representing banks and other financial institutions, private lenders and borrowers in a wide array of commercial transactional matters, including secured and unsecured lending, real estate finance (acquisition, construction and permanent financings), asset-based lending, commercial and industrial lending, equipment leasing and loan transactions, loan syndications and participations, and sophisticated intercreditor and subordination agreements.

Mr. Vaughan advises both owners and purchasers in all phases and aspects of real estate ownership, including acquisition, development, leasing and disposition of real estate and real property interests.

Brian also advises clients with respect to business entity selection and formation and he acts as general counsel to various small businesses, routinely advising clients with regard to general legal issues arising in connection with the operation of their businesses and assisting with matters of corporate governance.

Brian has experience representing both creditors and debtors in bankruptcy and workout transactions and his past legal experience includes the negotiation and closing of corporate mergers and acquisitions.

Brian formerly practiced in the real estate department with the Boston firm of Peabody & Arnold LLP. Most recently, Brian practiced in a regional office for one of New Hampshire's largest law firms, Devine, Millimet & Branch P.A, based in Manchester, New Hampshire.

Brian was an internal bank auditor prior to attending law school, which provides him with insight concerning business risk assessment and a unique understanding of certain issues facing his commercial lending clients.

Brian has also served as a member of the Plaistow, New Hampshire Zoning Board of Adjustment.
